1. Who we are
GATE is made by Fliekhuis and Lenscowboy Media & Entertainment (Pty) Ltd (registration 2014/053922/07, Cape Town, South Africa). GATE licences are sold by Lenscowboy Media & Entertainment (Pty) Ltd. "We" and "us" in these terms mean both.
These terms cover the GATE application, the website gate.productions, and every GATE licence, trial and preview build. "You" means the person using GATE, and the company they use it for.
2. Agreeing to these terms
By installing GATE, asking for or using a trial, buying a licence or using this website, you confirm that:
- you are at least 18;
- you have read these terms and agree to them;
- if you act for a company or a production, you may agree to them on its behalf.
If you do not agree, do not use GATE.
3. Your licence
A GATE licence lets you use GATE. It does not sell you the software. What each plan includes is listed on the pricing page on the day you buy it.
- By the year: a licence is for one seat (one computer) for a year, and renews each year until you cancel.
- Per production: a licence runs from the first shoot day to a week after the last. A longer shoot adds a week at a time.
- Trial: by request. We issue trials ourselves and may decline one. A trial is for 14 days, starting when you activate the key we send, with every feature; one per person and per computer.
- Seats: a licence is tied to the computer it was activated on. You may move a seat to another computer yourself twice a month; ask us for more.
- Offline: GATE works with no connection. It checks the licence when it can, and keeps working for 30 days past the end of a paid period while it cannot.
- When a licence ends: GATE never stops a copy halfway. Everything it made still opens: records, reports and hash lists. The features your plan paid for stop working on new work.
- Preview and test builds stop starting new offloads on the date they show. Do not rely on one past that date.
4. Paying and cancelling
- Prices are in South African rand, fixed when you buy. Dollar figures are a guide only.
- Payments are taken by Paystack. We never see or keep your card details.
- Cancel at any time from the link in the email Paystack sends with your subscription. You keep your plan until the end of the period you paid for.
- We do not refund the unused part of a period, except where the law gives you a right to a refund. Where it does, you have it.
- A refund or a chargeback ends the licence it paid for.
5. Your footage is yours
No data or footage is harvested from GATE. GATE runs on your computer. It does not upload, collect, sample, scan or analyse your footage, sound, stills, file names, hashes, records, reports, transcripts or slate logs for us: they stay on your computer and the drives you choose, and we never receive them. We cannot use, sell, share or train AI on what we do not have, and we would not.
Your footage remains your property. Everything you or your production record, copy, check or make with GATE belongs to you or its rights holder, as it did before GATE touched it. Using GATE gives us no ownership of it, no licence to it and no claim on it.
Two things leave your computer, and only if you switch them on: run reports (the production, the card’s name, how many files, the drives and the verdict, never a file name) to the people your licence names, and the producer link, the day’s sheet for the producer. We hold them only to deliver them. The privacy policy lists them, and the little else GATE sends us: the email, plan and computer a licence is for.
For what run reports and producer links say about your production and the people on it, you are the responsible party under POPIA and we are your operator: we process it only to deliver it where you send it, and keep it only as long as the privacy policy says. Tell the people it names, and the people it goes to. A report you send us from GATE (Send a report) carries GATE’s logs, which name your production, cards and files: send one only when you may share them with us.
6. Your part
GATE is a tool used by a professional. Whether a card is safe to format is your decision. In particular:
- keep at least two copies, on separate drives, before you format or reuse a card;
- read the verdict and the report, and act on every warning GATE gives;
- keep your cards, readers, cables, drives and computer in working order;
- follow your production's own data and backup rules where they ask for more than this.
7. Footage, data and our liability
GATE copies files, reads every copy back off the drive and compares it with the card. A verdict reports what GATE read at that moment. It is not a promise that the media is complete, that the camera or recorder recorded it properly, that it will play, or that any drive will keep it. Media can fail during or after GATE's work: cards, drives, readers, cables, computers, operating systems, power, network storage and cloud sync folders can all fail or change files.
To the fullest extent the law allows, neither Fliekhuis, Lenscowboy nor their directors, employees or contractors are liable for:
- footage, sound, stills or any other data that is lost, deleted, damaged or corrupted, whether or not GATE was copying or checking it at the time;
- a copy that failed, is incomplete or was never verified, or a card formatted or reused;
- the cost of a reshoot, data recovery, delays, lost fees or lost business;
- anything done in reliance on a verdict, report, hash list, transcript, slate match or hand-off file;
- any indirect, special or consequential loss.
Where the law does not allow us to exclude liability, our total liability for any claim is limited to what you paid us for GATE in the twelve months before it. Nothing in these terms excludes liability that South African law, including the Consumer Protection Act, does not allow us to exclude.
Transcripts are made by a speech model on your computer and can be wrong. Check one against the sound before relying on it.
8. No other promises
Apart from what these terms say, GATE and this website are provided as they are, without any warranty that they will be free of errors, always available, or suited to a particular production.
9. What you may not do
- share, sell or publish a licence key, or use one seat on more computers than it allows;
- get round GATE's licence check, or reverse-engineer GATE except where the law allows it;
- resell or rent out GATE, or offer it as a service to others;
- scrape or systematically copy this website, or use its content to train AI models;
- use GATE or this website for anything unlawful.
Using GATE to do paid DIT work for your own clients is exactly what it is for.
10. Other software
GATE works with other tools and formats, such as DaVinci Resolve, Adobe Premiere Pro and other offload tools' hash lists, and downloads its speech model from Hugging Face. Those are other companies' products, under their own terms. We are not responsible for them, or for other websites this one links to.
GATE includes open-source software, and the speech model it downloads for transcripts is open source too. Their licences are listed in GATE, under Open-source licences, and apply to those parts; nothing in these terms limits your rights under them.
11. Our property
GATE, its name, its software and this website belong to us or the people we license them from. These terms give you the licence in section 3 and nothing more. GATE, TAKE, Fliekhuis and Lenscowboy, and their logos, are trade marks of their owners.
12. Ending a licence
You may stop using GATE at any time. We may decline a request for a trial or a licence, and may end a licence if it is used against these terms, if payment is reversed, or if a key has been shared. Sections 5, 7 and 14 still apply after a licence ends.
13. Changes
We may change these terms. The date at the top will change with them. A change applies from your next renewal or purchase; until then, the terms you bought under stand.
14. Law
These terms are governed by the law of South Africa, and its courts decide any dispute about them.
